All Points Concrete Delivery LLC

These Terms and Conditions of Service (“Terms”) govern all quotes, orders, concrete deliveries, pumping services, material sales, website use, and related services provided by All Points Concrete Delivery LLC (“All Points,” “we,” “us,” or “our”).

The person or company requesting, scheduling, receiving, directing, or paying for services is referred to as the “Customer.”

Acceptance of Terms

By requesting a quote, scheduling an order, approving an order by telephone, email, text message, electronic form, or signature, providing payment information, permitting us to dispatch equipment, or accepting delivery or service, the Customer acknowledges and agrees to these Terms and our Customer Policies.

A person placing an order on behalf of a company, contractor, property owner, or other party represents that the person has authority to accept these Terms on that party’s behalf.

If a written quote, credit agreement, or separately signed contract conflicts with these Terms, the separately signed written agreement controls only to the extent of the conflict.

Quotes and Order Acceptance

Quotes are estimates based on information provided by the Customer and are subject to availability, verification, and change.

A quote does not guarantee a delivery date, delivery time, material availability, truck availability, pump availability, or acceptance of an order.

All Points may accept, reject, limit, modify, or cancel an order based on availability, safety, credit, payment, weather, equipment condition, material availability, jobsite conditions, or other reasonable business considerations.

Scheduling and Delays

Delivery and arrival times are estimates and are not guaranteed.

All Points is not responsible for delays or failure to perform caused by traffic, weather, mechanical failure, material shortages, supplier delays, labor shortages, road closures, governmental action, accidents, prior jobs, emergencies, unsafe conditions, or events beyond our reasonable control.

A delay does not automatically entitle the Customer to cancel without charge or recover labor costs, lost profits, consequential damages, penalties, or other expenses.

Customer’s Responsibility for Order Information

The Customer is responsible for confirming all order information, including:

• Quantity
• Mix design
• PSI
• Slump
• Aggregate
• Fiber
• Color
• Additives
• Delivery address
• Delivery date and time
• Pumping requirements
• Hose requirements
• Access conditions
• Washout arrangements
• Placement and finishing requirements

All Points may rely on information and instructions provided by the Customer or any person appearing to act on the Customer’s behalf.

Quantity Estimates

The Customer is solely responsible for calculating the amount of concrete required.

Calculators, measurements, quantity suggestions, or other assistance provided by All Points are estimates only. All Points does not guarantee that any estimated quantity will be sufficient or accurate.

The Customer is responsible for shortages and overages caused by measurements, excavation variations, form movement, grade differences, pump-line loss, waste, spillage, thickness variations, or other jobsite conditions.

Cancellation Charges

The following cancellation charges apply:

Non-Weather Cancellation

• At least 24 hours before the scheduled delivery: No cancellation fee
• Less than 24 hours before the scheduled delivery: $250 per truck and $250 per pump

Weather-Related Cancellation

• At least three hours before the scheduled delivery: No cancellation fee
• Less than three hours before the scheduled delivery: $250 per truck and $250 per pump

After Dispatch or Arrival

If a truck or pump has already been dispatched, is traveling to the jobsite, or has arrived, the Customer is responsible for:

• The applicable cancellation fee
• Delivery, fuel, and mileage charges
• Minimum-order and mobilization charges
• Waiting time already incurred
• Specially ordered or prepared materials
• Concrete already produced
• Disposal, washout, or cleanup expenses
• Other reasonable costs incurred because of the confirmed order

A job that is not ready, accessible, adequately staffed, properly inspected, or safe at the scheduled time may be treated as a late or on-site cancellation.

Prices and Payment

Prices are subject to change until an order is confirmed. Final billing is based on the actual services provided, quantities produced, materials used, waiting time, mileage, and applicable fees.

Unless All Points has approved written credit terms, payment is due before delivery or immediately upon completion.

The Customer authorizes All Points and its payment processor to charge the payment method provided for all amounts arising from the order, including actual quantities, additional materials, waiting time, pumping charges, cancellation fees, mileage, towing, recovery, cleanup, damage, and other authorized charges.

The Customer must promptly notify All Points of any billing dispute and cooperate in resolving it. Filing a chargeback does not eliminate an otherwise valid payment obligation.

Returned payments and past-due balances may be subject to fees, collection activity, legal action, and interest at the lesser of 1.5% per month or the maximum lawful rate.

The Customer is responsible for reasonable collection costs, court costs, and attorney’s fees to the extent permitted by law.

All Points reserves all construction-lien, payment-bond, personal-guaranty, and other payment rights available under applicable law. Nothing in these Terms waives any notice, lien, bond, or collection right.

Jobsite Access and Conditions

The Customer represents that the delivery location and requested access route are safe, lawful, stable, adequately compacted, and capable of supporting fully loaded commercial concrete trucks, pumps, trailers, and related equipment.

The Customer is responsible for identifying:

• Soft or unstable ground
• Sand, mud, fill, or uncompacted material
• Septic tanks and drain fields
• Culverts and drainage systems
• Underground utilities
• Irrigation systems
• Vaults or underground structures
• Weight-restricted driveways or roads
• Low trees, roofs, signs, and overhead utilities
• Narrow entrances and insufficient turning areas

Off-Pavement Access and Towing

If the Customer requests or authorizes a vehicle to leave a public or paved roadway, the Customer assumes the risks associated with the access route, ground conditions, concealed conditions, and the weight and movement of the vehicle.

If any All Points truck, pump, trailer, or equipment becomes stuck, disabled, or unable to exit after leaving the paved roadway, the Customer is responsible for all related:

• Tow bills
• Wrecker and heavy-recovery charges
• Winching, crane, and recovery-equipment costs
• Labor charges
• Damage occurring during access or recovery
• Cleanup and restoration costs
• Reasonable lost-time expenses

The Customer must pay the towing or recovery company directly when requested. If All Points pays any such charge, the Customer must immediately reimburse All Points.

The Customer releases All Points from claims for damage caused by the normal weight, size, movement, or operation of the vehicle or equipment on an access route selected, requested, or approved by the Customer, except to the extent the damage is finally determined to have been caused solely by All Points’ gross negligence or willful misconduct.

All Points drivers and operators have final authority to determine whether access is reasonably safe. Refusal to enter an unsafe area does not waive delivery, waiting-time, mobilization, or cancellation charges.

Authority of Persons at the Jobsite

All Points may rely on instructions from the Customer, property owner, general contractor, superintendent, foreman, pump operator, finisher, or another person who reasonably appears to have authority.

Directions given by such a person concerning access, placement, quantity, slump, water, additives, discharge, pump setup, or washout will be treated as authorized by the Customer.

Water and Mix Adjustments

Any water, slump adjustment, additive, or mix change requested or approved at the jobsite is made at the Customer’s risk.

The Customer acknowledges that additional water or other changes may affect strength, durability, set time, finish, appearance, cracking, and performance.

All Points is not responsible for the effects of changes requested, directed, or approved by the Customer or another person at the jobsite.

Placement, Finishing, and Curing

Unless separately agreed in writing, All Points does not provide engineering, structural design, excavation, grading, formwork, reinforcement, placement, screeding, finishing, curing, sealing, waterproofing, or inspection services.

The Customer is responsible for proper:

• Project design
• Subgrade preparation
• Forms and reinforcement
• Concrete thickness
• Joint design and placement
• Placement and consolidation
• Finishing
• Curing and sealing
• Weather protection
• Drainage
• Code compliance
• Testing and inspection

All Points is not responsible for cracking, shrinkage, settlement, discoloration, crazing, curling, scaling, dusting, spalling, finish variations, or other conditions caused by design, placement, finishing, curing, weather, subgrade, added water, construction practices, or matters outside our control.

Testing and Claims Concerning Concrete

The Customer must arrange any required testing through a properly qualified independent testing agency.

Testing must be performed using applicable standards for sampling, molding, handling, curing, transporting, and testing specimens.

The Customer must immediately provide All Points with all test reports and written notice of any alleged deficiency.

Before concrete is demolished, repaired, covered, altered, or replaced, All Points must be given a reasonable opportunity to:

• Inspect the project and concrete
• Review batch and delivery records
• Observe or conduct additional testing
• Review sampling and curing procedures
• Obtain samples or cores where appropriate
• Investigate placement, finishing, curing, and jobsite conditions

The Customer may not recover demolition, replacement, repair, delay, or other costs incurred without first giving All Points reasonable notice and an opportunity to investigate and, when appropriate, propose a remedy.

Concrete Pumping

Unless otherwise quoted, pumping service is charged at $175 per hour with a two-hour minimum.

Pump time begins upon arrival at the jobsite or the scheduled start time, whichever occurs first, and continues until the pump, hose, and related equipment have been cleaned and are ready to leave.

The Customer is responsible for safe pump access, setup, outrigger support, hose routing, qualified hose handlers, adequate placement labor, and a lawful washout location.

The Customer assumes responsibility for damage caused by hose movement, hose blockage, concrete discharge, grout, washout water, customer personnel, insufficient labor, or unsafe jobsite conditions, except to the extent caused solely by All Points’ gross negligence or willful misconduct.

Washout

The Customer must provide a suitable, accessible, and lawful location for washing trucks, chutes, pumps, and hoses.

The Customer is responsible for cleanup, disposal, environmental charges, fines, and property damage if an adequate washout location is not available.

Inspection and Notice of Damage

The Customer should inspect the delivery area and services before our equipment leaves.

Visible property damage, shortages, or delivery discrepancies must be reported to the driver and All Points immediately whenever reasonably possible.

Other claims must be submitted in writing promptly after discovery and must include photographs, supporting documents, the delivery date, jobsite address, and a description of the issue.

The Customer must take reasonable steps to prevent further damage and preserve evidence.

Disclaimer of Warranties

Except for any express written warranty provided by All Points, services, website information, calculators, and estimates are provided on an “as available” basis.

To the fullest extent permitted by law, All Points disclaims implied warranties, including warranties of merchantability and fitness for a particular purpose, except where such warranties cannot legally be excluded.

No employee, driver, operator, salesperson, contractor, or representative may create a warranty or modify these Terms unless the modification is in a writing signed by an authorized representative of All Points.

Limitation of Liability

To the fullest extent permitted by law, All Points will not be liable for lost profits, lost business, loss of use, labor downtime, delay damages, penalties, liquidated damages, loss of contracts, or indirect, incidental, special, exemplary, punitive, or consequential damages.

To the fullest extent permitted by law, All Points’ aggregate liability arising from an order or service will not exceed the amount the Customer paid All Points for the specific concrete, materials, or service giving rise to the claim.

These limitations do not apply where prohibited by law or to liability finally determined to result from conduct that cannot legally be limited or excluded.

Indemnification

To the fullest extent permitted by law, the Customer will defend, indemnify, and hold harmless All Points and its owners, employees, operators, and agents from third-party claims, damages, fines, penalties, and reasonable expenses arising from:

• Unsafe or inadequate jobsite access
• Customer directions
• Off-pavement travel requested or authorized by the Customer
• Undisclosed hazards
• Placement, finishing, curing, or construction work performed by others
• Violations of permits, laws, or property restrictions
• Actions of the Customer’s contractors, employees, agents, or invitees

This provision does not require the Customer to indemnify All Points for liability that applicable law prohibits from being indemnified.

Force Majeure

All Points is not responsible for a delay or failure caused by circumstances beyond its reasonable control, including severe weather, flooding, fire, accident, mechanical failure, material shortage, supplier interruption, traffic, road closure, governmental action, labor shortage, utility failure, emergency, or act of God.

Governing Law and Venue

These Terms are governed by Florida law, without regard to conflict-of-law rules.

Unless applicable law requires otherwise, any legal proceeding concerning these Terms or services provided by All Points must be brought in a state or federal court having jurisdiction in Manatee County, Florida.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain effective.

No Waiver

A failure or delay by All Points in enforcing any provision does not waive that provision or any other right.

Changes to These Terms

All Points may revise these Terms prospectively by posting an updated version on its website.

The Terms in effect when an order is confirmed will generally govern that order unless the parties agree otherwise in writing.
